Definitions
The following definitions apply throughout this document:
- "Agreement"
- These Terms & Conditions together with any Engagement Letter accepted by both parties.
- "We," "Us," "Our"
- Quillwood Advisers, with its principal place of business at 128 Surawong Road, Si Phraya, Bang Rak, Bangkok 10500, Thailand.
- "Client," "You," "Your"
- Any individual or organisation that accesses this website or enters into an engagement with Quillwood Advisers.
- "Services"
- The business consulting engagements offered by Quillwood Advisers, including Considered Strategic Review, Family Business Conversations, and Written Briefing Preparation.
- "Website"
- The website located at quillwoo and all associated pages.
- "Content"
- All text, written deliverables, frameworks, and other intellectual output produced in connection with our Services.
- "Engagement Letter"
- A written document confirming the scope, timeline, and fee for a specific service engagement, which forms part of this Agreement when acknowledged by both parties.
Section 2
Acceptance of Terms
By accessing this Website or engaging our Services, you indicate that you have read and accept these Terms & Conditions. If you do not accept these terms, please refrain from using this Website or engaging our Services.
Persons engaging our Services confirm that they are at least 18 years of age and, where acting on behalf of an organisation, have the authority to bind that organisation to this Agreement.
These Terms take effect from the date you first access this Website or, in the case of a formal engagement, from the date an Engagement Letter is accepted, whichever is earlier.
Section 3
Service Description
Quillwood Advisers provides business consulting services to companies and family businesses, primarily in Thailand and the wider Asia-Pacific region. Our current offerings are:
Considered Strategic Review
An eight-week engagement examining strategic position, market context, and internal capabilities. Includes three working sessions and produces a written review document.
Family Business Conversations
A four-to-six-week facilitated engagement for businesses with family involvement in ownership or leadership. Includes individual and group sessions.
Written Briefing Preparation
A two-to-three-week focused engagement producing a carefully written briefing document on a specific matter requiring leadership attention.
We reserve the right to modify or discontinue any Service. Where a paid engagement is already underway, we will discuss any necessary adjustments directly with the Client before making changes that affect the agreed scope.
Section 4
Engagement & Scope
Each engagement begins with an Engagement Letter that sets out the specific scope, timeline, working sessions, deliverables, and fee. The Engagement Letter governs the specifics of that engagement where it differs from the general descriptions on this Website.
Changes to the scope of a confirmed engagement should be requested in writing. We will advise whether they can be accommodated within the existing arrangement or require a revised Engagement Letter.
Timelines on this Website reflect typical durations. Actual timelines are agreed in the Engagement Letter and may vary based on the nature of the work and the availability of the Client and relevant stakeholders.

User Responsibilities
When using this Website or engaging our Services, you agree to:
- Provide accurate and complete information when making enquiries or entering into engagements.
- Respond to reasonable requests for information in a timely manner to allow the engagement to proceed.
- Ensure that persons participating in working sessions have appropriate authority and context.
- Use written deliverables solely for the internal purposes described in the Engagement Letter.
- Refrain from distributing our deliverables to third parties without prior written agreement.
- Not use this Website in any manner that may damage or impair its operation.
The usefulness of our work depends in part on the candour and completeness of information shared with us during an engagement.
Section 6
Intellectual Property
All content on this Website remains the property of Quillwood Advisers and is protected under applicable Thai intellectual property law.
Written deliverables produced for a Client engagement are intended for that Client's internal use. Upon receipt of full payment, we grant the Client a non-exclusive licence to use those deliverables for the purposes described in the Engagement Letter. We retain the underlying methodologies and frameworks used in producing them.
Clients may not present our deliverables as their own work or remove attribution without prior written consent. Nothing in this section limits the Client's right to act on the advice and recommendations contained in a deliverable.
Section 7
Fees & Payment
Fees are quoted in United States Dollars (USD) and are set out in the relevant Engagement Letter. Indicative fees on this Website reflect standard engagements; individual engagements may differ in scope and fee.
Our standard arrangement involves an initial payment before work commences, with the remainder due upon delivery of the principal deliverable. Specific milestones are detailed in each Engagement Letter.
If an engagement is requested to be discontinued after work has commenced, fees will be assessed based on the proportion of work completed. We will discuss this with the Client directly in such circumstances.
VAT or other applicable taxes will be handled in accordance with Thai tax law and indicated in our invoices where applicable.
Section 8
Confidentiality
We treat all information shared by Clients during an engagement as confidential and do not disclose it to third parties except where required by law or explicitly agreed with the Client.
Clients are similarly expected to treat as confidential any methodologies or working documents we share during an engagement that are not part of the final deliverable.
Where either party requires more detailed confidentiality arrangements — for example, where commercially sensitive or family-related matters are involved — this can be addressed in the Engagement Letter or a separate agreement.

Disclaimers
This Website and its content are provided for informational purposes. While we aim for accuracy, we do not warrant that the information on this Website is complete, current, or free from error.
Our Services constitute management consulting, not legal, tax, financial, or regulatory advice. Clients should engage appropriately qualified professionals for advice in those specialisations. Where our work touches on such areas, we will note this in our deliverables.
We do not make representations about specific business outcomes that may follow from acting on our advice. The usefulness of strategic thinking depends on many factors outside our control.
Section 10
Limitation of Liability
To the extent permitted by Thai law, our total liability for any claim arising in connection with a specific engagement is limited to the fees paid by the Client for that engagement.
We will not be liable for indirect, consequential, or loss-of-profit claims arising from use of this Website or from an engagement, except where such exclusion is prohibited by applicable law.
Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Events beyond our reasonable control — including natural disasters, disruptions to communications infrastructure, or illness — may delay delivery. In such circumstances, we will communicate with the Client promptly and agree on a reasonable course of action.
Section 11
Indemnification
You agree to indemnify and hold harmless Quillwood Advisers, its principals, and associates from any claims, losses, or expenses arising from your breach of these Terms, your misuse of our deliverables, or your provision of inaccurate or misleading information during an engagement.
This indemnification obligation does not apply to claims arising from our own negligence or misconduct.
Section 12
Termination
Either party may request to conclude an engagement early by providing written notice. In such cases, fees will be assessed based on work completed up to the date of notice, as detailed in the Engagement Letter.
We may decline to continue an engagement where a Client has materially breached these Terms or where the engagement has become impractical through no fault of either party. We will communicate this directly and discuss a fair resolution.
Provisions relating to intellectual property, confidentiality, payment of outstanding fees, and dispute resolution survive the conclusion of any engagement.
Section 13
Dispute Resolution
These Terms are governed by the laws of the Kingdom of Thailand. The courts of Thailand shall have jurisdiction over disputes arising from this Agreement.
Where a dispute arises, we encourage both parties to seek resolution through direct discussion before pursuing formal proceedings. We take concerns seriously and will engage in good faith with any reasonable attempt to resolve a matter informally.
If informal resolution is not achieved within 30 days of a dispute being raised in writing, either party may refer the matter to mediation under the procedures of the Thai Arbitration Institute (TAI), or to the courts of Thailand as appropriate.
Section 14
General Provisions
Entire Agreement. These Terms, together with the applicable Engagement Letter, constitute the entire agreement between us and supersede any prior discussions on the same subject matter.
Severability. If any provision of this Agreement is found unenforceable, the remaining provisions continue in full force.
Waiver. A failure to enforce any provision of this Agreement at any time does not constitute a waiver of that provision.
Assignment. Clients may not assign rights under this Agreement without our prior written consent. We may involve associates in delivering Services, subject to our confidentiality obligations.
Notices. Formal notices should be sent by email to the addresses in the Engagement Letter, or to legal@quillwoo. Notices are deemed received on the next business day following transmission.
Section 15
Changes to Terms
We may update these Terms from time to time. Where changes are material, we will note the updated date at the top of this page. Continued use of this Website following such changes constitutes acceptance of the revised terms.
Changes will not apply to an ongoing engagement without the written agreement of both parties.
